Terms of Service

By creating an account, accessing, or using any part of the Xerish platform — including the Xerish mobile application, website (xerish.com), API, or any related services (collectively, the "Platform") — you ("User," "you," or "your") agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional agreements applicable to your account type.

If you do not agree to these Terms in their entirety, you must not access or use the Platform. If you are accepting on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

Xerish is a technology platform that enables donors to discover and support charitable organizations through micro-donations made from a pre-funded wallet. Xerish operates as a software intermediary only. All payment processing is performed by Stripe, Inc. ("Stripe"), a licensed money transmitter. Xerish does not hold, transmit, or control donor funds directly.

Xerish is a Washington State Social Purpose Corporation organized under RCW 23B.25. Twenty percent (20%) of Xerish's net profit is directed to the Storehouse pursuant to the Joseph Principle, written into the company's governing documents.

To use the Platform, you must meet all of the following requirements:

• Be at least 18 years of age, or the age of legal majority in your jurisdiction if higher;
• Have the legal capacity to enter into a binding contract;
• Not be prohibited from using the Platform under applicable law;
• Not have been previously suspended or removed from the Platform by Xerish.

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for all activity that occurs under your account.

You are responsible for maintaining the confidentiality of your login credentials. Notify Xerish immediately at support@xerish.com if you suspect unauthorized access. Xerish will not be liable for any loss arising from unauthorized use of your account.

Each individual may maintain only one active account. Organizations may maintain one account per legal entity. Creating duplicate accounts may result in suspension of all associated accounts.

Xerish charges no fees to donors on donations. Organizations are not charged a percentage of funds received. Xerish generates revenue through:

• Voluntary platform tips offered to donors after a completed donation;
• Future paid organizational tiers disclosed at enrollment;
• Stripe payment processing fees applicable to wallet top-ups (2.5% card / 1.5% ACH), passed through at cost.

Donors fund a Xerish Wallet through Stripe-processed transactions. Wallet balances represent prepaid credits that may be donated to participating organizations. Wallet balances are held and administered by Stripe. Xerish does not hold user funds.

When a donor initiates a donation, the corresponding amount is deducted from the Wallet and credited to the receiving organization in real time. Donations are final and non-reversible except as described in the Refund Policy.

All donations are voluntary gifts. Xerish does not guarantee any specific use of donated funds by recipient organizations. Donors acknowledge that donations are gifts and do not create any obligation on the part of the recipient organization.

A default hourly giving limit of $100.00 is enforced to protect donors from accidental over-giving. This limit may be adjusted in account settings. Xerish may modify default limits with notice.

Donations to 501(c)(3)-qualified organizations may be tax-deductible. Xerish provides giving history for donor reference but does not issue IRS written acknowledgment letters. Organizations are responsible for written acknowledgment for gifts of $250 or more as required by IRS regulations. Donors should consult a qualified tax advisor.

You agree not to use the Platform to:

• Violate any applicable law, regulation, or third-party rights;
• Submit false, misleading, or fraudulent information in any application, registration, or transaction;
• Solicit donations for organizations that are not legitimate charitable entities;
• Use the Platform for any commercial purpose not expressly authorized by Xerish;
• Attempt to reverse-engineer, decompile, or extract source code from the Platform;
• Interfere with or disrupt the integrity or performance of the Platform;
• Harvest, scrape, or collect data without written authorization;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Use automated means (bots, scrapers, scripts) to access the Platform without written permission;
• Engage in conduct that could damage the reputation of Xerish or any Platform user.

All Platform content — including text, graphics, logos, icons, images, audio, video, and software — is the exclusive property of Xerish or its licensors and is protected by United States and international intellectual property laws.

You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. You may not reproduce, distribute, or create derivative works of any Xerish content without prior written permission.

User-submitted content remains your property. By submitting content, you grant Xerish a worldwide, royalty-free license to use, reproduce, display, and distribute such content in connection with operating and improving the Platform.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, XERISH DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Xerish does not warrant that the Platform will be uninterrupted, error-free, or secure; that defects will be corrected; or that results of using the Platform will meet your expectations.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XERISH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

XERISH'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (A) $100.00, OR (B) THE TOTAL FEES PAID BY YOU TO XERISH IN THE SIX MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless Xerish and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit.

Xerish may suspend or terminate your account at any time, with or without notice. You may terminate your account by contacting support@xerish.com. Upon termination, your right to use the Platform ceases immediately.

Sections 8, 9, 10, 11, 13, and 14 survive termination. Remaining Wallet balances will be processed per the Account Deletion Policy.

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles.

Before initiating legal proceedings, contact Xerish at support@xerish.com. Xerish will attempt to resolve disputes within thirty (30) days of receiving written notice.

Unresolved disputes will be submitted to binding arbitration administered by JAMS under its Streamlined Arbitration Rules, conducted in Seattle, Washington or via videoconference. The arbitrator's decision is final and binding.

You agree to arbitrate only in your individual capacity. You waive any right to bring or participate in any class, collective, or representative action against Xerish.

Xerish may modify these Terms at any time with notice posted on the Platform or via email. Continued use after notice constitutes acceptance of updated Terms.

• Entire Agreement: These Terms, together with the Privacy Policy and applicable supplemental agreements, constitute the entire agreement between you and Xerish.
• Severability: If any provision is found unenforceable, remaining provisions continue in full force.
• Waiver: Failure to enforce any provision is not a waiver of that provision.
• Assignment: You may not assign your rights without Xerish's written consent. Xerish may assign without restriction.
